UGGC Avocats Advises Armoric Holding on Acquisition of EGI‑Klubb Group

UGGC Avocats advised Armoric Holding, with a substitution option in favour of the newly formed company Carnegi, in the acquisition of EGI‑Klubb Group. The offer submitted by Armoric Holding, allowing substitution in favour of Carnegi, was accepted by the Commercial Court of Sedan by judgment dated 20 October 2025, following the placement of EGI‑Klubb Group into judicial reorganisation in July 2025. EGI‑Klubb Group is a French leader in the manufacture of lifting arms for vehicles intended for civil security, industry and defence. Armoric Holding, whose group employs 500 people and reports consolidated revenue of €100 million, specialises in specialty coachbuilding (armoured vehicles, industrial sheet metal work, precision mechanics and automotive safety components). The group is the owner of established entities such as Sides (manufacturer of firefighting vehicles), Essonne Sécurité (European leader in the transport of sensitive materials, including armoured vehicles) and Carrosserie Guitton (French leader in multi‑level livestock trailers). Carnegi will become the twelfth industrial site of the Armoric Holding group. The integration of EGI‑Klubb Group’s activities preserves a precision engineering capability and complements Armoric Holding’s existing service offering.
