A&O Shearman advised Weinberg Capital Partners on the sale of Sapian to a dedicated continuation fund

A&O Shearman advised Weinberg Capital Partners; Dechert advised Weinberg Capital Partners on fund structuring; Duroc Partners advised the management of Sapian; Hogan Lovells advised Montana Capital Partners; and Willkie Farr & Gallagher advised the lenders to Sapian. The transaction concerns the sale of Sapian, a leading French provider of hygiene and environmental protection services, to a continuation fund exclusively dedicated to Sapian — the first continuation fund of its kind raised by Weinberg Capital Partners. The operation mobilises €115 million of equity and represents a further step in the partnership initiated in 2019 when WCP#3 invested in Sapian. The continuation fund will support Sapian’s ambitious development strategy, including anticipated future acquisitions. New investors, led by Montana Capital Partners together with several family offices and alongside historic investors, join the capital. Weinberg Capital Partners also participated in financing the transaction, which constitutes the sixth investment of its LBO fund WCP#4. Founded in 2019 following the carve‑out of ISS’s Hygiene and Prevention division, Sapian now employs more than 1,500 people across 41 agencies in France and expects revenue in excess of €155 million in 2025.
