Proskauer Advises WALLIX on Acquisition of French Startup Malizen

The transaction transfers 100% of Malizen’s shares to WALLIX; former Malizen shareholders will become WALLIX shareholders and have committed to a six-month lock-up. The acquisition advances WALLIX’s AI roadmap and enriches its IAM‑PAM platform."

Proskauer advised WALLIX on its acquisition of the French cybersecurity startup Malizen. The transaction consists of the acquisition of 100% of the share capital of Malizen. All Malizen shareholders will become shareholders of WALLIX and have undertaken to retain the entirety of the shares received for a minimum period of six months. Malizen, based in Rennes at the heart of the regional cyber excellence cluster where WALLIX operates one of its R&D centres, is a technology company born from a research spin‑off of work carried out at Inria Rennes. The company was founded by Christopher Humphries, who holds a doctorate in cybersecurity from the University of Rennes 1 conducted in partnership with the French Directorate General of Armaments (DGA). Shareholders in Malizen include Inria, recognised business angels such as Éric Bantegnie (founder of Esterel Technologies) and the funds Tomcat, Hypade and Corcovado, which will become shareholders of WALLIX as part of this operation. Malizen specialises in User Behaviour Analytics and employs artificial intelligence to analyse user behaviour, detect anomalies and anticipate cyber risks proactively. Its solution provides increased visibility and enhanced preventive capabilities by enabling organisations to identify and forecast threats before they materialise. The acquisition accelerates WALLIX’s AI roadmap and aligns with the Group’s strategy to enhance and platform its IAM‑PAM offering. WALLIX will gain both a team of AI specialists to bolster its existing R&D resources and a new technology that is planned to enrich its software suite from 2026. Integrating behavioural analysis of both human and non‑human users into WALLIX solutions is expected to be a significant commercial asset, particularly for large accounts facing very high access volumes (internal, external, within IT systems and industrial networks) that need to strengthen resilience through intelligent anticipation of cyber attacks and human error.
