Lefosse advises on GNR Lara Espírito Santo BRL 50 million commercial notes issuance

Lefosse acted as deal counsel to issuer GNR Lara Espírito Santo. Banco Bradesco BBI and UBS BB served as coordinators of the issuance. The transaction comprised the issuer's first issuance of commercial notes in a single series, carried out by means of public distribution under the automatic procedure established by CVM 160, in the total amount of BRL 50 million. The issuance was coordinated by Banco Bradesco BBI and UBS BB. The proceeds will be used by the issuer for the implementation, construction, commissioning and operation of an industrial plant for the purification of biogas generated by a landfill located in the City of Vila Velha, State of Espírito Santo. The commercial notes were secured by a package consisting of a fiduciary assignment of receivables, a fiduciary assignment of shares issued by the issuer, and a corporate guarantee granted by Gasbio Lara. The issuer's shareholders included CTRVV Participações, Morro Holding, MDCPAR Ecometano Empreendimentos and MDC I Fundo de Investimento em Participações Multiestratégia. Lefosse represented GNR Lara Espírito Santo with a team composed by: partner Miriam Signor; associates João Villa and Murilo Rêgo. In-house counsel Rodrigo Carvalho represented Gasbio Lara and CTRVV Participações, and also acted for GNR Lara Espírito Santo in relation to the transaction. Daniel Sena acted as counsel for MDCPAR and for Ecometano Empreendimentos. Sonia Giberti acted as counsel for Morro Holding and for MDC I Fundo de Investimento em Participações Multiestratégia. Banco Bradesco BBI was represented by Izabela Lourenço. UBS BB Corretora de Câmbio, Títulos e Valores Mobiliários was represented by Denise Freitas.
