Pinheiro Neto and Demarest Advise on TIM’s Acquisition of V8.Tech

Pinheiro Neto Advogados advised TIM Brasil, and Demarest Advogados represented the founders of V8.Tech in the transaction. TIM Brasil and the founders of V8.Tech entered into an agreement under which TIM will acquire 100% of V8.Tech’s equity. The consideration includes an upfront payment of R$140 million and the possibility of up to an additional R$140 million in earn-out payments, contingent on the achievement of agreed performance targets over coming years. The transaction is aligned with TIM’s strategy to accelerate the expansion of its B2B and cloud-services offerings. TIM was assisted on legal matters by Pinheiro Neto Advogados and on financial matters by Igapó Advisors. The founders of V8.Tech were represented by Demarest Advogados and received financial advice from Naia Capital. Closing of the transaction remains subject to approval by CADE.
