MFE to acquire 32.9% stake in Portuguese media group Impresa

"MFE–MediaForEurope has signed binding agreements to subscribe new shares in Portuguese media group Impresa, acquiring a 32.9% stake and equivalent voting rights. Closing is expected in Q1 2026, subject to customary conditions including Portuguese authority confirmation of exemption from a takeover bid. Pérez-Llorca, NautaDutilh and BonelliErede advised MFE–MediaForEurope, while PLMJ represented Impresa in the transaction. MFE–MediaForEurope, the holding company of the Italian Mediaset group, has entered into binding agreements with Portuguese media group Impresa and its controlling shareholder Impreger. Under those agreements Impresa will issue new shares and MFE will subscribe them, resulting in MFE acquiring a 32.9% ownership stake and the same proportion of voting rights in Impresa. Impresa is a Portuguese media group operating eight television channels and the newspaper Expresso, and is listed on the Lisbon Stock Exchange with a significant presence in Portuguese-speaking markets worldwide. Closing of the transaction is expected in the first quarter of 2026 and remains subject to customary conditions precedent, including confirmation by the competent Portuguese authority of MFE's exemption from the obligation to launch a takeover bid.
