BonelliErede Represents Fastweb at TAR Lazio as AGCM Approval for Vodafone Italy Acquisition Upheld

BonelliErede represented Fastweb S.p.A. before the Regional Administrative Court of Lazio (TAR Lazio), defending the AGCM's authorization of Fastweb's acquisition of Vodafone Italy. The transaction at issue was the acquisition of Vodafone Italy by Fastweb (procedure C12659), an operation valued at approximately €8 billion. By judgment no. 20935 of 24 November 2025 (Section I), the TAR Lazio rejected an appeal brought by a competitor and fully confirmed the measure by which the Italian Competition Authority (AGCM) had authorized the acquisition. In its decision the court accepted Fastweb's arguments, recognising the correctness of the AGCM's analysis of the transaction's effects and the adequacy of the remedies adopted to address competitive concerns. The Administrative Judge noted that the Authority authorised "an important commercial operation prescribing those minimal measures (in observance of the principle of proportionality) to guarantee the maintenance of competition among firms, above all for the benefit of consumers who do not appear to be prejudiced — not even indirectly — by the operation."
