CMS Advises DuPont on Spinoff of Electronics Business and Swiss Reorganisations

CMS Switzerland advised DuPont de Nemours, Inc. on the Swiss reorganisations implemented in connection with the separation of its electronics business into a standalone company, Qnity Electronics, Inc. DuPont completed on 1 November 2025 the separation by way of a spinoff of its electronics business into an independent publicly traded company, Qnity Electronics, Inc. (NYSE: Q). The spinoff forms a key element of DuPont’s global transformation, announced in May 2024, intended to realign development priorities and to create a leaner, more strategically focused, agile and high-performing diversified industrial company. That transformation was accomplished through a series of complex reorganisations within the group’s Swiss structure. These Swiss operations involved multiple DuPont business units and were implemented to prepare the electronics business for the spinoff and independent public listing.
