Dentons advises Uzbekistan’s State Assets Management Agency on US$160 million sale of SamAuto to Anadolu Isuzu

"Dentons advised the State Assets Management Agency of the Republic of Uzbekistan on the US$160 million transaction selling a 75.2% stake in Samarkand Automobile Factory LLC (SamAuto) to Anadolu Isuzu. Anadolu Isuzu will pay a base price of US$80 million and commit to an US$80 million investment plan. Dentons provided Uzbek and English law advice on the transaction documentation."

Dentons advised the State Assets Management Agency of the Republic of Uzbekistan on the sale of a 75.2% stake in Samarkand Automobile Factory LLC (SamAuto) to Anadolu Isuzu. The transaction involves a US$160 million package under which Anadolu Isuzu acquires the shares for a base price of US$80 million and undertakes an US$80 million investment plan. The sale of the 75.2% stake marks a strategic milestone in the Uzbek government’s ongoing privatization program. SamAuto, based in Uzbekistan, is a leading commercial vehicle manufacturer in Central Asia and has operated for many years in partnership with Japanese companies Isuzu and Itochu. Dentons represented the State Assets Management Agency of the Republic of Uzbekistan with a team composed by: Tashkent-based partner Ulugbek Abdullaev; Frankfurt-based counsel Mikhail Panferov; and associate Latofat Rakhmanova. The firm provided advice under both Uzbek and English law on the preparation and negotiation of the transaction documents.
