TRUST advises NYAB Group and shareholders in EUR 200 million merger with First North listed Skarta Plc

TRUST advised the Nyab Group and its shareholders in their EUR 200 million transaction with Skarta Plc, which is listed on First North. The transaction was structured as a share exchange arrangement with an aggregate purchase price of EUR 200 million. Of this amount, EUR 2.5 million was paid in cash and EUR 197.5 million was satisfied through a directed share issue to the shareholders of NYAB Sverige AB. The share issue was paid as a contribution in kind with the shares of NYAB Sverige AB. As a result of the transaction, the newly issued shares will represent approximately 59 percent of all Skarta shares following completion.
