BonelliErede Advises MFE (Mediaset) on Investment in Portuguese Group Impresa

BonelliErede represented MFE (MediaForEurope/Mediaset) in the transaction; Pérez‑Llorca (Lisbon and Madrid offices) and NautaDutilh provided advice to MFE on Portuguese, Spanish and Dutch law matters; Mediobanca acted as financial advisor to Impresa; and Portuguese firm PLMJ advised Impresa. MFE — MediaForEurope, the Mediaset holding company — entered into binding agreements with Impresa – Sociedade Gestora De Participações Sociais and with the latter’s controlling shareholder, Impreger – Sociedade Gestora de Participações Sociais, pursuant to which MFE will subscribe newly issued shares of Impresa representing 32.9% of the company’s share capital and voting rights. Impresa heads a group active in the media and entertainment sector, publishing eight television channels and the newspaper Expresso. The group is listed on the Lisbon Stock Exchange and is recognised for its strong market position in Portugal and in Portuguese‑speaking countries worldwide. The closing is expected in the first half of 2026 and remains subject to customary conditions precedent, including confirmation from the competent Portuguese authority that an exemption from the obligation to launch a takeover bid in favour of MFE applies.
