Pavia e Ansaldo and Chiomenti Advise on TeamSystem’s Acquisition of Arca24

Pavia e Ansaldo and Chiomenti took part in the transaction, with Pavia e Ansaldo advising buyer TeamSystem and Chiomenti representing the selling shareholders of Arca24; Swiss firm Bär & Karrer assisted TeamSystem on Swiss law matters and TeamSystem’s in-house legal team also acted for the buyer. Cordusio Fiduciaria acted as escrow agent. The transaction involved the acquisition by TeamSystem, a tech and AI company specialising in digital business solutions for companies and professionals, of the entire share capital of Arca24.com. Arca24 is a software house highly specialised in the development and commercialisation of innovative software and services for the digitalisation of HR processes, addressed to employment agencies, recruitment firms and companies across all sectors. Pavia e Ansaldo represented client TeamSystem with a team composed by: partners Mia Rinetti and Paola Carlotti (M&A and corporate), associate Martina Ferrari and trainee Alessio Macaluso. Labour law matters were handled by partner Francesco Vitella, while industrial and intellectual property matters were managed by partner Gabriele Girardello. Maria Rosaria Raspanti, counsel of the antitrust and FDI department, dealt with golden power profiles together with associate Nicolò Cagnato. Bär & Karrer represented client TeamSystem on Swiss law matters with a team composed by: partners Paolo Bottini, Andrea Ziswiler and Massimo Vanotti, associates Bryan Bruschi and Aron Liechti, and junior associate Franco Singenberger. Chiomenti represented the selling shareholders of Arca24 with a team composed by: counsel Riccardo Coghe and associate Vittorio Rampinelli, supervised by partner Edoardo Canetta Rossi Palermo.
