Carehub acquires Centro Diagnostico Moscardi, Diagnostica Moderna and Fisiomedical

Chiomenti and Bird & Bird advised Carehub; Spada Partners handled the tax aspects of the transaction for the acquiror; PedersoliGattai acted for the financing providers Clessidra and Green Arrow Capital; Lepidi & Associati assisted the sellers of Centro Diagnostico Moscardi and Diagnostica Moderna; Mariotti assisted the sellers of Fisiomedical. Carehub, through its holding company Brexia Med, has acquired a majority stake of 91% in Centro Diagnostico Moscardi, 100% of Diagnostica Moderna and 70% of Fisiomedical. The newly completed transactions bring the Carehub group to six acquired companies and a network of 10 multispecialty diagnostic and care centres located in Friuli‑Venezia Giulia, Abruzzo, Umbria and Tuscany. The acquisitions were financed using both internal resources and an acquisition debt facility provided by Clessidra Private Debt together with Green Arrow Private Debt Fund II. Chiomenti represented Carehub with a team composed by: partner Marco Paruzzolo (coordinator of the financing team), senior associate Cettina Merlino, associates Francesca Regolo and Tancredi Falcone; and with the corporate aspects handled by a team coordinated by partner Salvo Arena (responsible for the New York office and co‑head of the Private Equity practice) together with of counsel Filippo Corsini. Spada Partners represented Carehub on the tax aspects of the transaction with a team composed by: partner Guido Sazbon and salary partner Francesco Podagrosi. PedersoliGattai represented Clessidra Private Debt and Green Arrow Capital with a team composed by: partner Gian Luca Coggiola; associates Virginia Crugnola and Martina Pagliara for finance matters; and counsel Valentina Buzzi for tax matters. Bird & Bird represented Carehub for the corporate aspects related to the acquisition of Fisiomedical with a team composed by: of counsel Daniele Raynaud, senior associate Elena Beccegato and associate Angelo Fiorello. Lepidi & Associati represented the sellers of Centro Diagnostico Moscardi and Diagnostica Moderna. Mariotti represented the sellers of Fisiomedical.
