XCA acquires Autotrade & Logistics activities with Gianni & Origoni and Legance advising

Gianni & Origoni represented XCA, and Legance represented Autotrade & Logistics; Vitale & Co and Pirola Corporate Finance acted as financial advisors in the transaction, and notary Giulio Montanaro handled the notarial aspects. The transaction sees XCA — the joint venture between the Conti family and the Arcese Group — acquire the business activities of Autotrade & Logistics, a company providing integrated logistics services to the automotive sector. Autotrade & Logistics is recognised as one of Italy’s main players in automotive logistics and its strategic assets include "Il Faldo", described as the largest compound in Europe dedicated to the storage, handling and preparation of vehicles. Through this acquisition XCA strengthens its presence in high-potential segments and consolidates its position in the European automotive logistics market. Gianni & Origoni represented XCA with a team composed by: partner Stefano Bucci (team lead); counsel Aldo Turella for corporate, private equity and M&A matters; of counsel Matteo Gotti together with associates Luigi Terenzio Trigona and Federica Miani for banking matters; partner Luigi Romanzi supported by managing associate Giulia Melegari on restructuring; partner Saverio Schiavone on labour issues; and senior associate Chiara Mazzuca Mari coordinating the interdisciplinary legal due diligence.
