Gianni & Origoni and BDO Law advise on Biauto bond issuance

Gianni & Origoni and BDO Law assisted the parties involved in the transaction: Gianni & Origoni advised Sella Investment Banking, Banca di Asti and Banco di Desio e della Brianza, while BDO Law assisted Biauto. The transaction concerned the issuance and private placement of an unsecured loan by Biauto, a company active in the sale and official servicing of premium vehicle brands including BMW, Mercedes‑Benz, MINI, Smart, Jaguar, Land Rover and Triumph, and one of the leading dealers in Piedmont and Liguria. The loan was underwritten by Banca Sella, Banca di Asti and Banco di Desio e della Brianza and was admitted to trading on Euronext Access Milan. Sella Investment Banking acted as financial advisor and arranger for the operation. The issuance is intended to support payment of costs related to the acquisition of the Autocrocetta business unit, completed in December 2024, and to finance subsequent investments necessary for its proper integration into Biauto's operating perimeter. The loan’s terms reserve to Biauto the option to reopen the issue up to a maximum of €8 million through the issuance of additional notes fungible with those already placed.
