Trilegal Advises JSW Group on Strategic Partnership with Minerals Development Oman for 27 MTPA Port and Mining Project

Trilegal advised the JSW Group on its strategic partnership with Minerals Development Oman (MDO), the Sultanate of Oman’s state-owned mine developer and operator. The transaction establishes a collaboration to develop and operate a 27 MTPA greenfield port facility and associated gypsum and limestone mining operations in Dhofar Governorate, Oman. JSW Infrastructure Limited (through its wholly owned step-down subsidiary JSW Overseas FZE) will acquire 51% of the equity of South Minerals Port Company SAOC (Port SPV), while JSW International Tradecorp Pte. Ltd. (through wholly owned JSW Mining Singapore Pte. Ltd.) will acquire 49% of the equity of South Minerals Company SAOC (Mine SPV), both entities incorporated in Oman by MDO. The parties negotiated a suite of transaction documents, including a share subscription and purchase agreement for the Port SPV, a share subscription agreement for the Mine SPV, shareholders' agreements governing the Port and Mine SPVs, a framework offtake agreement under which JSW Mining Singapore Pte. Ltd. will offtake 12 MTPA of mined products, and a port services agreement under which the Port SPV will provide cargo handling, storage and loading services to the Mine SPV. The port project has an estimated capex of USD 419 million and is expected to commence commercial operations in the first half of 2029.
