Marval O’Farrell Mairal Advises YPF on Acquisition of 50% of Refinor

Marval O’Farrell Mairal advised YPF SA in its acquisition of 50% of the share capital of Refinería del Norte SA (Refinor) from Hidrocarburos del Norte, a company belonging to Grupo Integra. The transaction involved Marval advising YPF SA on the purchase of a 50% interest in Refinor. The shares were acquired from Hidrocarburos del Norte, with the effect that YPF assumed control of 100% of Refinor’s share capital. Refinor will continue to operate as part of the YPF Group following the transaction. This acquisition is strategic for YPF as it secures operation of the pipeline that links YPF’s dispatch terminal in Montecristo (province of Córdoba) with Refinor’s hub in Banda del Río Salí (province of Tucumán), thereby optimizing fuel supply logistics across Northwestern Argentina (NOA). Refinor also operates a network of more than 70 service stations across the provinces of Tucumán, Salta, Santiago del Estero, La Rioja, Jujuy, Catamarca and Chaco, and the transaction ensures operational continuity and supply throughout the region.
