Latham Advises Underwriters in Ceva, Inc. Public Offering of Common Stock

Latham advised the underwriters in connection with Ceva, Inc.'s underwritten public offering of common stock; Ceva, Inc. was the issuer and seller. Ceva, Inc. (NASDAQ: CEVA) priced an underwritten public offering of 3,000,000 shares of its common stock at a public offering price of US$19.50 per share. All of the shares in the proposed offering are to be sold by Ceva. Ceva also granted the underwriters a 30-day option to purchase up to an additional 450,000 shares of its common stock at the public offering price, less underwriting discounts and commissions. The gross proceeds to Ceva from the proposed offering, before deducting underwriters’ discounts and commissions and offering expenses, are expected to be approximately US$58.5 million, assuming no exercise of the underwriters’ option. Latham represented the underwriters with a team composed by: a group led by London partner Josh Kiernan, Tel Aviv partner Gilad Zohari, and New York partner Benjamin Cohen, together with Tel Aviv associate Jamie Savren and New York associate Madison Venezia. Advice on tax matters was provided by New York partner Elena Romanova, with associate Shangpu (Nicholas) Sun.
