A&O Shearman represents underwriters in Steel Dynamics USD800 million senior notes offering

A&O Shearman represented the underwriters in a registered offering by Steel Dynamics, Inc. The offering comprised USD650 million aggregate principal amount of 4.000% Senior Notes due 2028 and USD150 million aggregate principal amount of 5.250% Senior Notes due 2035. The 5.250% Senior Notes due 2035 constituted a further issuance of the series originally issued on March 12, 2025. Steel Dynamics, Inc. is a leading industrial metals solutions company with facilities throughout the United States and in Mexico. The company operates a circular manufacturing model that uses recycled scrap as the primary input to produce lower-carbon-emission, high-quality products. Steel Dynamics is among the largest domestic steel producers and metal recyclers in North America and maintains a significant downstream steel fabrication platform.
