Blake Morgan Advises TSA Riley on Acquisition of D2 Global to Expand in the UK and Enter Canada

Blake Morgan and James Cowper Kreston advised TSA Riley on its acquisition of D2 Global (D2), a specialist project management consultancy operating in the UK and Canada. The transaction sees TSA Riley acquire D2, which was founded in 2011 and has established a reputation for delivering programme management solutions on complex infrastructure projects. D2 operates from offices in Manchester and Toronto. The acquisition enhances TSA Riley’s infrastructure offering in the UK and marks the group’s entry into the Canadian market. The enlarged TSA Riley group is projected to grow to nearly 1,100 consultants, strengthening its property and infrastructure services and expanding its global reach. The deal builds on recent integrations of Henry Riley, DGA Group and RGB Assurance and reinforces TSA Riley’s position across the UK and Ireland, Australia, New Zealand and South‑East Asia. Blake Morgan represented TSA Riley with a team composed by: Corporate Partner Mathew Wilson (who led the cross-departmental team); Corporate Tax Partner Rob Thomas; Corporate Associates Jodie Grove and Katie Newham; and specialists from employment, pensions, property, commercial and tax teams. James Cowper Kreston represented TSA Riley with a team composed by: advisers responsible for the corporate finance and tax elements of the transaction.
