Cirio Advises BEWI ASA on Issuance of Senior Secured Bonds and New Revolving Credit Facility

Cirio acted as legal adviser to BEWI ASA on a financing transaction involving the issuance of senior secured bonds and the establishment of a new revolving credit facility. In September 2025 BEWI ASA, the Norwegian-listed provider of packaging, components and insulation solutions, issued new senior secured bonds in an initial amount of EUR 250,000,000 under a total framework of EUR 325,000,000. In conjunction with the new bond issuance BEWI completed a tender offer and the early redemption of its 2021/2026 bonds. DNB Carnegie, part of DNB Bank ASA, and Nordea Bank Abp acted as joint bookrunners and dealer managers in connection with the bond issuance and tender offer. A new revolving credit facility, arranged by DNB Bank ASA and Nordea Bank Abp, filial i Sverige, comprises a EUR 75,000,000 multicurrency revolving credit facility. The new revolving credit facility together with the proceeds from the bonds have been used, inter alia, to refinance BEWI’s 2021/2026 bonds and existing facility agreement and may also be used for general corporate purposes.
