Latham & Watkins Represents Initial Purchasers in Commercial Metals Company US$2 Billion Senior Notes Offering

"Latham & Watkins LLP represented the initial purchasers in Commercial Metals Company’s US$2 billion offering of senior notes — US$1 billion of 5.75% notes due 2033 and US$1 billion of 6.00% notes due 2035 — in a Securities Act‑exempt transaction expected to close on or about November 26, 2025."

Latham & Watkins LLP represented the initial purchasers in the offering involving Commercial Metals Company (NYSE: CMC). Commercial Metals Company has agreed to sell US$1 billion in aggregate principal amount of 5.75% Senior Notes due 2033 and US$1 billion in aggregate principal amount of 6.00% Senior Notes due 2035 in an offering exempt from the registration requirements of the Securities Act of 1933. The offering is expected to close on or about November 26, 2025, subject to customary closing conditions.
