Trowers & Hamlins advises Settle and Paradigm on £1.55 billion financing for merger first stage

Trowers & Hamlins and Centrus Advisors advised Settle Group and Paradigm Housing Group Limited (the combined group now operating as SettleParadigm) on a £1.55 billion financing as part of the first stage of their merger. The transaction comprised the consolidation of Settle Group as a subsidiary of Paradigm Housing Group Limited in October 2025, with the combined organisation operating under the name SettleParadigm. The parties plan to complete a legal combination within the next two years. SettleParadigm will operate primarily across Buckinghamshire, Hertfordshire and Bedfordshire and, on completion, will become the largest housing association in the region, owning almost 27,000 homes. The financing work addressed the funding implications of that corporate integration. Trowers & Hamlins’ Banking and Finance team, working alongside Centrus Advisors, worked closely with the finance and treasury teams at Paradigm and Settle to secure and restructure facilities. The advisers negotiated funder consents, amended and reinstated several existing funding agreements, negotiated new funding agreements and implemented multiple loan-linked and standalone ISDA agreements. The package included implementation and renegotiation of debt facilities and treasury risk management solutions intended to protect portfolio value and support the group’s aims of improving resident services and delivering more affordable homes.
