A&O Shearman Advises on Wise plc EMTN Programme and Inaugural Notes Issue

A&O Shearman represented the dealers, joint lead managers and the trustee in relation to Wise plc’s euro medium term note programme and its inaugural notes issue, advising J.P. Morgan and the other banks acting as dealers and joint lead managers, and the trustee. The EMTN programme was established on 13 November 2025, and Wise immediately announced its intention to complete a transaction under the new platform. Following a successful investor roadshow, Wise completed an inaugural issue of GBP250 million, with the notes admitted to the London Stock Exchange’s International Securities Market. The transaction involved multiple jurisdictions, with the issuer and certain guarantors located in the UK, Belgium and the United States (Delaware). A&O Shearman advised the dealers, joint lead managers and the trustee on the establishment of the programme and on the inaugural issue. A&O Shearman represented J.P.
