Jeantet advises Entreprise Redonnaise d'Électricité on acquisition of Ardelec Energie

Jeantet advised Entreprise Redonnaise d'Électricité (ERE) in connection with its acquisition of Ardelec Energie. The transaction completes an external growth operation carried out less than a year after LBO France Gestion subscribed to a majority stake in ERE. It brings together two long-established players in the HTA-BT sector to create a consolidated group with a full-service offering and national coverage. Based in Redon in Brittany, ERE designs and manufactures prefabricated concrete transformer substations, primarily for industrial clients. Ardelec Energie, established in Hauts-de-France and Provence, specialises in installation, maintenance and equipment rental. The combined entity will report pro forma revenues in excess of €60 million. The operation was financed through a capital increase subscribed notably by LBO France Gestion, Capelia and Unexo – Crédit Agricole, together with a credit facility drawn from Arkéa Banque Entreprises et Institutionnels. The new group will be jointly led by Ludovic Bianchi (ERE) and Julien Pau (Ardelec Energie), the latter having reinvested a significant part of his shareholding as part of the transaction. Jeantet represented Entreprise Redonnaise d'Électricité (ERE) in the transaction, with a team composed of: Pascal Georges (Partner), Marie Noppe, Nicolas Méheust and Kassio Akel da Silva (Associates) for corporate matters; Caroline André-Hesse (Partner) and Juliette Hubert (Associate) for employment matters; Gabriel di Chiara (Partner), François-Xavier Siméoni (Counsel) and Hugo Cherqui (Associate) for tax matters; and Delphine Baudouin (Partner) for financing.
