Dentons Advises Rienergy ESCo on Co‑development Agreements for Four Biomethane Plants for Stellantis Europe

"Dentons advised Rienergy ESCo on the preparation and negotiation of co‑development and sale agreements for four biomethane production plants in Italy for Stellantis Europe and Rienergy group sites. Two plants will be built on Stellantis sites (Pomigliano d’Arco and Melfi) and two on Rienergy group sites (Atessa and Carmagnola); operations are expected in 2026 under the DM Biometano incentive scheme."

Dentons advised Rienergy ESCo, while Stellantis Europe was represented by its in‑house legal team. The transaction concerns the preparation, negotiation and execution of co‑development agreements for four new biomethane production plants to be built in Italy and the subsequent sale of the biomethane produced. Two of the plants will be located on Stellantis sites at Pomigliano d’Arco and Melfi, and two on sites owned by companies of the Rienergy ESCo group at Atessa and Carmagnola. Each plant will have a production capacity of 499 standard cubic metres per hour. The plants are scheduled to enter operation in 2026 and qualify for incentives under the Italian DM Biometano of 15 September 2022. The agreements form part of a strategic co‑development plan between Rienergy ESCo and Stellantis Europe for advanced biomethane. They regulate cooperation during project development and the downstream sale of biomethane after commissioning. The initiatives are intended to contribute to decarbonisation and the energy transition by significantly reducing the environmental footprint of Stellantis’s Italian production sites. Contractual arrangements include the grant of rights of superficie in favour of Rienergy group companies on Stellantis sites to enable construction and operation of the plants. Dentons represented Rienergy ESCo with a team composed by: partner Luigi Costa, head of the Project, Energy and Infrastructure business unit for Italy; managing counsel Ginevra Biadico; and junior associate Alice Bixio. The firm handled the structuring, drafting and negotiation of the contractual documentation and provided regulatory and energy law advice related to the projects. Stellantis Europe was represented by its in‑house legal team, which provided assistance in defining the contractual terms, including those governing the grant of superficies on Stellantis sites.
