Addleshaw Goddard Advises APM Terminals on Landmark USD 550m Investment in Chittagong, Bangladesh

"Addleshaw Goddard advised APM Terminals on the negotiation and execution of a concession agreement with the Chittagong Port Authority and related documentation, including a shareholders' agreement with local partner QNS Container Services Ltd, for a greenfield Laldia Container Terminal in Chittagong involving an investment in excess of USD 550 million."

Addleshaw Goddard advised APM Terminals on the negotiation and execution of a concession agreement with the Chittagong Port Authority and associated ancillary documentation; APM Terminals' in-house legal team also participated in the transaction. Under the concession agreement, an APM Terminals subsidiary will design, finance, build and operate the Laldia Container Terminal in Chittagong, Bangladesh. APM Terminals will invest in excess of USD 550 million to construct the terminal. The package of documentation includes a shareholders' agreement between APM Terminals and its local Bangladesh partner, QNS Container Services Ltd. This is the first greenfield port concession granted in Bangladesh and represents a major step in the Chittagong Port Authority's plans to expand capacity at Chittagong Port. The project is described as the single largest investment in Bangladesh by a European company and is intended to help resolve bottlenecks at Chittagong Port, unlock trade and growth, and position Bangladesh as a more competitive maritime hub in South Asia. The terminal is expected to generate over 1,000 jobs during construction and more than 500 jobs in operation.
