Hengeler Mueller Advises United Internet on Sale of 1&1 Versatel to 1&1

"Hengeler Mueller advised United Internet on the intra-group sale of United Internet Management Holding SE and 1&1 Versatel to 1&1 AG for approx. €1.3bn, subject to a ±€300m adjustment payable in 2030. 1&1 acquires assets and liabilities including Versatel's ~67,000 km fibre network; a €950m shareholder loan remains with United Internet, secured by a 1&1 guarantee."

Hengeler Mueller advised United Internet AG on the transaction, and the deal was managed by United Internet's in‑house legal team; the counterparty was 1&1 AG. United Internet AG and 1&1 AG agreed on an intra-group sale of United Internet Management Holding SE (100% held by United Internet), including its wholly owned subsidiary 1&1 Versatel GmbH, to 1&1 AG. As both United Internet and 1&1 are listed companies with minority shareholders, the sale was conducted on an arm's length basis. The purchase price amounts to approximately EUR 1.3 billion, subject to a potential adjustment of up to EUR 300 million increase or decrease depending on 1&1 Versatel's business performance in 2027, 2028 and 2029; any such adjustment would be payable in 2030. Under the terms of the transaction, 1&1 will acquire 1&1 Versatel with all assets and liabilities, in particular its network infrastructure. A shareholder loan of approximately EUR 950 million previously granted by United Internet to 1&1 Versatel will remain with United Internet and will be secured by a guarantee from 1&1 as part of the sale. Through this internal restructuring and the sale of 1&1 Versatel to 1&1, United Internet is consolidating its telecommunications activities and expertise under the umbrella of 1&1. 1&1 Versatel is a specialist provider of fibre‑optic connectivity for businesses, authorities and institutions, operating a fibre network of roughly 67,000 kilometres reaching over 350 cities and offering extensive wholesale and preliminary services to other telecommunications companies. The acquisition gives 1&1 the infrastructure required for its fixed‑line and mobile business and a strengthened B2B segment.
