Dentons Advises Rienergy ESCo on Co‑development and Off‑take Agreements for Four Biomethane Plants for Stellantis Europe Production Network

"Dentons advised Rienergy ESCo on the drafting and negotiation of co‑development and off‑take agreements for four biomethane plants in Italy for the Stellantis Europe production network. Two plants will be on Stellantis sites in Pomigliano d’Arco and Melfi and two on Rienergy group sites in Atessa and Carmagnola. Plants are due in service in 2026 under the DM Biometano incentive scheme; Stellantis was assisted by its in‑house legal team."

Dentons advised Rienergy ESCo on the preparation and negotiation of co‑development and off‑take agreements, while Stellantis was assisted by its in‑house legal team. The transaction concerns co‑development agreements relating to four new biomethane production plants to be built in Italy. Two of the plants will be located on Stellantis sites at Pomigliano d’Arco and Melfi, and two on sites owned by companies of the Rienergy ESCo group at Atessa and Carmagnola. The agreements govern cooperation during project development and the subsequent sale and purchase of the biomethane produced, following the scheduled entry into service of the plants in 2026. The initiatives form part of a strategic co‑development plan between Rienergy ESCo and Stellantis Europe in the advanced biomethane sector and are intended to significantly reduce the environmental footprint of Stellantis’s Italian production sites. The four plants are included in the incentive framework established by the DM Biometano of 15 September 2022 and are described as among the most significant industrial projects in biomethane for the automotive sector. Each plant will have a production capacity of 499 standard cubic metres per hour. Dentons represented Rienergy ESCo with a team composed by: Luigi Costa, partner and head of the Project, Energy and Infrastructure business unit for Italy; Ginevra Biadico, managing counsel; and Alice Bixio, junior associate. Stellantis in‑house legal team represented Stellantis with a team composed by members of the company’s internal legal department, which provided assistance in defining contractual aspects including the terms of the surface rights granted to Rienergy group companies for the construction of the plants.
