FTPA Advises GMD on Acquisition by Chinese Group DSBJ

FTPA Avocats advised Groupe Mécanique Découpage (GMD) in connection with its acquisition by Chinese industrial group DSBJ. The transaction involved the sale of 100% of GMD’s capital to Suzhou Dongshan Precision Manufacturing Co., Ltd. (DSBJ). The strategic operation combines a financial and industrial support package with a debt restructuring and a reinforcement of GMD’s equity base. Its stated objectives are to preserve GMD’s industrial capacities, maintain employment and consolidate the company’s position on its historical markets, while enabling modernization and new development prospects. Groupe Mécanique Découpage, founded in 1986 in the Eure by Alain Martineau, is a major player in automotive subcontracting. The group comprises three historical divisions — GMD Stamping, Eurocast and Eurostyle Systems — and totals more than 5,000 employees, 33 production units and six technical centres across 13 countries. GMD reported over €1 billion in revenue in 2024. DSBJ was established in the 1980s in Suzhou and has been listed on the Shenzhen Stock Exchange since April 2010. The group brings together more than 60 subsidiaries, holdings and investments and is a leading global manufacturer of printed circuit boards. DSBJ’s activities span electronic circuits, photoelectric displays and precision manufacturing, and it has recently diversified into the clean vehicle industry.
