Benetti & Giammarino Advise Bonduelle on Sale of Cristalina Industrial Assets to Stella D Oro Alimentos

Benetti & Giammarino Advogados advised Bonduelle do Brasil Produtos Alimentícios, the Brazilian subsidiary of the French Bonduelle Group, and Fabian Caruzo e Advogados Associados advised purchaser Stella D’Oro Alimentos in the sale of Bonduelle’s industrial assets in the City of Cristalina, State of Goiás. The transaction was documented through a definitive asset purchase agreement and comprises the acquisition of a complete industrial facility in Cristalina, including the manufacturing plant, industrial equipment, and inventories of raw materials and spare parts. The transferred assets encompass approximately 59.40 hectares of total land area, of which 14.50 hectares are designated for industrial operations, together with all improvements, constructions and facilities necessary for continued activity in the processed food segment. Stella D’Oro Alimentos, a Brazilian company specializing in vegetable processing and the manufacture of preserves, seasonings and condiments and part of the Predilecta Group, will, upon approval by Brazil’s competition authority (CADE) and completion of the transaction, broaden its commercial reach and diversify its product portfolio.
