CBA Advises Lender Pool on Restructuring of ACIAM's Indebtedness

"CBA Studio Legale e Tributario and Beelegal advised a lending pool led by Banco BPM and the Gruppo BCC Iccrea (BCC Banca Iccrea and BCC Roma) in the restructuring of ACIAM’s debt arising from two financing transactions. The restructuring followed TEKNEKO SISTEMI ECOLOGICI’s acquisition and recapitalisation of ACIAM under a negotiated composition agreement (Article 23 CCII). ACIAM and TEKNEKO were advised by Antonio Della Pietra."

CBA Studio Legale e Tributario and Beelegal acted for the lending parties, while Antonio Della Pietra represented ACIAM and TEKNEKO SISTEMI ECOLOGICI; notary Anna Irma Farinaro oversaw the notarial activities. The lending pool was led by Banco BPM as lead bank and included the Gruppo BCC Iccrea (with BCC Banca Iccrea and BCC Roma). The transaction concerned the remodulation of ACIAM’s indebtedness arising from two separate financing operations. The debt restructuring was implemented following a corporate reorganisation in which TEKNEKO SISTEMI ECOLOGICI acquired a majority stake in ACIAM and effected a recapitalisation. The measures were executed pursuant to a negotiated composition agreement (ex Article 23 of the CCII), the completion of which enabled the filing and subsequent archiving of the related negotiated composition procedure. CBA Studio Legale e Tributario represented the pool of financing banks (Banco BPM as lead, and the Gruppo BCC Iccrea comprising BCC Banca Iccrea and BCC Roma) with a team composed by: senior associate Vincenzo Cimmino, associates Claudio Mastrobattista and Lucrezia Ghezzi, under the supervision of partner Francesco Dialti. The team advised the lenders on the negotiated procedure and drafted and negotiated the financing documentation. Beelegal represented the financing banks for matters related to the negotiated composition procedure with a team composed by: partner Gianluigi Iannetti. Antonio Della Pietra advised ACIAM and TEKNEKO SISTEMI ECOLOGICI on corporate law matters and on the review and negotiation of the financing documentation. Notarial activities were performed by notary Anna Irma Farinaro.
