Osborne Clarke Advises SPIE on Acquisition of 89% Stake in PIK AG

"Osborne Clarke advised SPIE on the purchase of an 89% stake in Berlin-based audiovisual systems specialist PIK AG. The remaining 11% will be retained by the seller and PIK management under a put and call option. Closing is expected in December and is subject to antitrust approval."

Osborne Clarke advised SPIE, one of the leading multi-technical service providers for buildings, plants and infrastructure in Germany, Austria and Switzerland, on its acquisition of 89% of PIK AG. The transaction strengthens SPIE’s position in media and audiovisual technology and related service models. PIK AG, based in Berlin, integrates and services complex audiovisual systems for conference, lecture and concert halls, primarily in northern and eastern Germany. The company covers the full project cycle — planning and management, installation and commissioning, and ongoing service, maintenance and operation — and also provides lighting technology. PIK employs around 170 people and reported revenues of approximately EUR 42 million in the 2024 financial year, having achieved steady organic growth and maintaining a solid customer base. Under the agreement, SPIE acquires 89% of the shares in PIK AG; the remaining 11% will be held by the previous owner and the management team. The purchase includes a put and call option over those remaining shares. Final closing of the transaction is expected in December and remains subject to approval by the antitrust authorities. Markus Holzke, Managing Director/CEO of SPIE Germany Switzerland Austria, said the acquisition deliberately strengthens SPIE’s presence in the audiovisual systems market, leveraging PIK’s technical expertise and broad customer portfolio, and expressed anticipation of working with the PIK management and team to drive future development. Osborne Clarke represented SPIE with a team composed by: Dr Björn Hürten (M&A), Efthimios Detsikas (M&A), Julian Baldus (M&A), Lisa Gerards (M&A), Dr Patrick Stadtbäumer (M&A), Charlotte Raszawitz (M&A), Carsten Dau (Commercial), Dennis Obermüller (Commercial), Nora Nauta (Employment), Karin Sültrop (Employment), Florian Merkle (Tax), Patrick Seiler (Tax), Nicole Lucks (Tax), Dr Sebastian Hack (Competition), Susanne Schricker (Competition), Lea Haser (Competition), Dr Mareike Klopp (Real Estate), Georg Friedrich Höxter (Real Estate), Konstantin Ewald (IT), Dr Marc Störing (Data Protection), Neil Simon-Weaver (Data Protection), Dr Florian Reiling (IP), Dr Jonas Völkel (IP), Reinhard Bunjes (Financing), Konrad Teßmar (Legal Project Management), Laura Valeske (Legal Project Management) and Zübeyde Aldemir (Legal Project Management).
