Advisors to acquisition of a logistics real estate portfolio in Piedmont

The transaction saw the HEPP 1 Italy A fund, managed by Colliers and subscribed by Hines group companies, purchase five logistics properties in Piedmont from Kryalos' Mazer fund."

Orrick and EY Studio Legale Tributario advised the buyers Hines and Colliers, while White & Case and Fivers Studio Legale e Tributario represented the seller Kryalos in this transaction. The acquisition was completed through the fund HEPP 1 Italy A, managed by Colliers Global Investors Italy SGR S.p.A. and subscribed by companies of the Hines group. The fund purchased an important portfolio of logistics assets located in Piedmont, in the municipalities of San Pietro Mosezzo (NO), Orbassano (TO) and Oleggio (NO). The portfolio, owned by Kryalos SGR S.p.A. in its capacity as manager of the fund named Mazer, comprises five logistics properties positioned in a strategic area for commercial flows in northern Italy. Orrick represented Hines and Colliers with a team composed by: Francesco Macrì (Head of Real Estate) and Diletta Pietrosemoli (Associate) for the civil and commercial due diligence and negotiation of the contractual documentation; and an administrative due diligence team led by Mariangela Di Giandomenico (Partner) with associates Alessandro Amato, Alessandra Di Lorito and Giuseppe Schinella. EY Studio Legale Tributario represented Hines and Colliers with a team composed by: Alessandro Padula (Partner, tax), Mario Naydenov (Senior Manager), Domenico La Barca (Manager), Giovanni Bruno (Senior) and Chiara Caruso (Staff), advising on all tax aspects of the sale, the investment structure and the tax negotiation of the contractual documentation. White & Case represented Kryalos with a team composed by: Giovanni Cirelli (Partner), Domenico Fanuele (Partner), Matteo Catalano (Local Partner) and Francesco Speciale (Associate), advising on the legal aspects of the sale of the properties. Fivers Studio Legale e Tributario represented Kryalos with a team composed by: Francesco Mantegazza (Managing Partner) and Andrea Brambilla (Partner), supported by Cosimo Lamanna (Junior Associate) and Beatrice Carnevali (Trainee), advising on all tax matters related to the disposal of the assets.
