Law firms advising on G. Schneider’s sale of wool business to G. Modiano

Giliberti Triscornia e Associati, Marino Ballancin e Associati, PwC Italy and Greco Vitali Associati acted for G. Schneider; Carmini Avvocati Associati acted for purchaser G. Modiano Ltd.; Linklaters acted for the financial creditors and Loan Agency Services as agent; Molinari acted for illimity SGR. G. Schneider has transferred all of its wool activities, with the exception of those located in Mongolia and South America, to G. Modiano Ltd. The transaction is intended to strengthen the position of the combined group as a leading reference point in the European wool supply chain. The operation was driven on G. Schneider's side by CEO Laura Ros and group CFO Andrea Carenzi and was supported by a range of legal, tax and financial advisers to ensure the financing, tax and intellectual property aspects were properly addressed. Giliberti Triscornia e Associati represented G. Schneider with a team composed by: partner Carmine Oncia and associates Edoardo La Bionda and Silvia Dalla Quercia for matters relating to relations with the lending institutions; counsel Lodovico Montevecchi and associates Ilaria Di Pasquale, Federico Grossi and Valentina Numeroli for matters connected with the acquisition. Greco Vitali Associati represented G. Schneider on intellectual property matters connected to the transaction with Benedetta Rampi. Carmini Avvocati Associati represented purchaser G. Modiano Ltd. with a team composed by: lawyers Iacopo Bissi and Paolo Visconti. Linklaters represented the financial creditors of G. Schneider and Loan Agency Services, in its capacity as agent of the lending pool, with a team composed by: partner Francesco Faldi and associates Marilisa Ciotta and Chiara Savarese.
