Bird & Bird and Selmer advise Kitron on acquisition of DeltaNordic

"Bird & Bird, together with Norwegian lead counsel Selmer, advised Kitron ASA on its acquisition of DeltaNordic AB from Mind Industrial Group AB and JSLS Holding AB. The transaction values DeltaNordic at an enterprise value of SEK 1,255 million (EUR 114 million), payable in cash and shares, and is subject to Swedish regulatory approvals expected in late December 2025 or early January 2026."

Bird & Bird and Norwegian firm Selmer advised Kitron ASA on its acquisition of DeltaNordic AB from Mind Industrial Group AB (majority owner) and JSLS Holding AB (minority owner). The transaction provides for Kitron to acquire 100% of the shares in DeltaNordic AB. The consideration will be paid in a combination of cash and shares and is based on an enterprise value of SEK 1,255 million (approximately EUR 114 million). The acquisition strengthens Kitron’s position in the defence and aerospace sectors and expands its footprint in Sweden, a NATO member with a leading role in military technology innovation. It brings DeltaNordic’s expertise in electronics and electrical systems for harsh environments and enhances Kitron’s design, prototyping and system‑level production capabilities. Kitron is a leading Scandinavian electronics manufacturing services provider serving the connectivity, electrification, industrial, medical devices and defence/aerospace markets, operating 12 sites across 11 countries on three continents. DeltaNordic serves blue‑chip customers in the defence, mining and infrastructure sectors and operates two production facilities in Sweden and China. Completion of the transaction is subject to approval from the Swedish Competition Authority and the Swedish Inspectorate of Strategic Products. Approvals are expected in late December 2025 or early January 2026.
