Khaitan & Co advises NecLife on sale of API and menthol businesses to Ceph Lifesciences

Khaitan & Co advised Nectar Lifesciences Limited (NecLife) in connection with the sale of its businesses to Ceph Lifesciences Private Limited. The transaction comprised the sale, by way of a slump sale on a going concern basis, of NecLife's business of manufacturing, distribution, marketing and sale of active pharmaceutical ingredients (APIs) and formulations to Ceph Lifesciences. In addition, NecLife sold, transferred and delivered its menthol business assets to Ceph Lifesciences. Khaitan & Co advised NecLife on all legal aspects of the transaction, including the structuring and documentation required to effect the transfer of the API and formulation business and the menthol assets.
