Davis Polk advised the dealer manager in connection with DuPont de Nemours, Inc.'s cash tender offer and related solicitations of consents. The transaction comprised a cash tender offer by DuPont de Nemours, Inc. to purchase up to approximately $739 million aggregate principal amount of its outstanding 5.419% notes due 2048. In addition, the matter involved solicitations of consents from the holders of DuPont's 5.319% notes due 2038 and 5.419% notes due 2048 to amend those notes and the indenture governing them.
