Freshfields advised TotalEnergies SE in connection with its acquisition, remunerated in shares, of 50% of the flexible electricity production platform of Energetický a průmyslový holding, a.s. (EPH) in Western Europe. The transaction covers a portfolio of more than 14 GW comprising gas‑fired plants, biomass facilities and batteries located in Italy, the United Kingdom, Ireland, the Netherlands and France. The enterprise value of the joint venture is €10.6 billion. The operation is subject to the legal information and consultation process with the relevant employee representative bodies and to approval by the competent authorities. Completion is expected in mid‑2026.
