Cleary Gottlieb Advises Capgemini SE on €4 Billion Multi‑Tranche Bond Offering

"Cleary Gottlieb advised Capgemini SE on a €4 billion multi‑tranche bond offering announced 18 September 2025 and closed 25 September 2025. The transaction comprised four tranches (1bn 2‑yr floating Euribor 3m +30bp; €500m 3‑yr 2.50%; €1.25bn 6‑yr 3.125%; €1.25bn 9‑yr 3.50%). Proceeds will finance the acquisition of WNS, refinance debt and support general corporate purposes."

Cleary Gottlieb advised Capgemini SE on its €4 billion multi‑tranche bond issuance. The transaction consisted of a bond offering in four tranches: (i) €1.00 billion due in 2 years with a floating coupon of Euribor 3 months plus 0.30% (the 2027 bonds); (ii) €0.50 billion due in 3 years with a 2.50% coupon (issue price 99.806%) (the 2028 bonds); (iii) €1.25 billion due in 6 years with a 3.125% coupon (issue price 99.409%) (the 2031 bonds); and (iv) €1.25 billion due in 9 years with a 3.50% coupon (issue price 99.077%) (the 2034 bonds). The offering was announced on 18 September 2025 and closed on 25 September 2025. Capgemini SE will use the proceeds to finance the acquisition of WNS, to refinance its financial indebtedness and for the Group's general corporate purposes. Following this issuance, the bridge credit facility entered into on 6 July 2025 in relation to the acquisition will be cancelled.
