Corporate Tech M&A team advises Clio on landmark US$1 billion acquisition of vLex

Gowling WLG represented Clio in its acquisition of vLex; Oakley Capital, vLex’s majority shareholder, also participated in the transaction and took equity in Clio. The transaction comprises Clio’s successful acquisition of vLex for US$1 billion. The strategic combination brings together Clio’s legal operating system and vLex’s Vincent AI research platform and extensive cross-jurisdictional legal database. The deal is intended to support legal professionals across firms of all sizes and to extend Clio’s reach into enterprise markets worldwide, marking a major step in Clio’s international expansion. The acquisition closed alongside Clio’s US$500 million Series G funding round, which values Clio at US$5 billion and includes a US$350 million debt facility. Oakley Capital, vLex’s majority shareholder, took equity in Clio as part of the transaction, reflecting long-term confidence in Clio’s strategy and future direction.
