Armònia acquires majority stake in Prevenzione e Salute Holding with advisors named

Transaction description Italian private equity manager Armònia SGR has acquired a majority stake in Prevenzione e Salute Holding (PSH), an Italian group operating polyclinics and medical centres across multiple regions. The transaction constitutes the fourth investment by Armònia Italy Fund II and envisages the reinvestment of the CEO and current shareholders as minority stakeholders to support the group's next growth phase. The PSH platform, conceived by founder and CEO Giovanni Battista Pisani and structured in 2021 as a club deal promoted by Banca Finint in partnership with Ribox (Riello family) and Stel-fin (Peretti family), began with the acquisition of two medical centres and expanded through consolidation to more than 35 operating companies. PSH provides a broad range of services including specialist medicine, rehabilitation, laboratory testing, imaging diagnostics, occupational health, day surgery/day hospital, environmental analysis, corporate welfare and training, with a focus on out-of-pocket spending. Today the group reports approximately €40 million in revenue, solid operating margins and significant synergies potential. Armònia’s plan, developed in coordination with the CEO, is to accelerate PSH’s growth both organically—leveraging favourable market dynamics and the group’s competitive positioning—and via selected external acquisitions in key geographic areas, aiming to build a leading operator able to offer a comprehensive and complementary range of healthcare services.
