Bird & Bird Advises Star First Partners on Acquisition of Olistika

Bird & Bird advised search fund Star First Partners on corporate aspects of the transaction, Studio CSSF provided tax support to the acquirer, and Studio Legale Lawal assisted Solution Bank, which participated as lender; independent advisor Gaetano Petroni supported Star First on financing matters. Star First Partners, an Italian search fund founded by Alessandro Conti, completed the acquisition of the entire share capital of Olistika, a San Marino company engaged in the production and commercialisation of pet food. The transaction was carried out through the incorporation of an Italian corporate vehicle, into which one of the sellers and the former CEO reinvested. The purchase was financed partly with equity raised directly from investors in Star First and partly through a loan provided by Solution Bank, whose involvement was coordinated by Vito Ronchi together with Ambra Cortesi and Andrea Bellettini. Bird & Bird represented Star First Partners with a team composed by: Calogero Porrello (partner, corporate) and Alice Maria Cuccio (associate, corporate). Gaetano Petroni assisted Star First Partners on financing matters. Studio CSSF represented Star First Partners (the acquirer) with a team composed by: Luca Sintoni (partner, tax).
