Greenthesis acquires 75% of Friul Julia Appalti

Chiomenti and Ferraro Ginevra Gualtieri – Studio Internazionale acted for Greenthesis Group, while BM&A Studio Legale Associato represented the sellers, Roberto and Michela Nadalutti. Greenthesis Group, an integrated environmental operator in Italy, completed the acquisition of 75% of the share capital of Friul Julia Appalti, a company active in the management, collection, recovery and disposal of waste in the Friuli Venezia Giulia region. Chiomenti represented Greenthesis Group with a team composed by: partner Italo De Santis and managing associate Chiara Delevati (team leaders for the multidisciplinary corporate and contractual work); associates Sara D’Itri, Bianca Maria Ruffino and Benedetta Anibaldi (corporate and contractual matters); partner Paolo Fedele and associate Bojan Mustafic (real estate); senior associate Antongiuseppe Maria Morgia and associate Simone Petrucci (tax); counsel Fiona Gaia Gittardi and associate Ida Cannavale (employment law); and associate Lorenzo Ugolini (environmental law). Ferraro Ginevra Gualtieri – Studio Internazionale represented Greenthesis Group with a team composed by: Gianrocco Ferraro and Filomeno Nunziata, who coordinated the legal due diligence with the assistance of Fortunata Mercuri and Roberta Casini; and Edoardo Ginevra and Francois Gualtieri, who led the fiscal and accounting due diligence supported by Azzurra Zara, Massimiliano Fontanella, Nicolò Altomani, Tommaso Ferraresso and Norberto Scolari. BM&A Studio Legale Associato represented the sellers Roberto and Michela Nadalutti with a team composed by: partner Vincenzo Pellegrini (lead), Andrea Masiero (corporate and contractual matters) and Federica Bardini (tax).
