PedersoliGattai and DLA Piper at closing of PhenoFarm sale to Solina (Astorg)

PedersoliGattai advised Solina (Astorg) and DLA Piper advised the sellers in the closing of the transfer of majority control of PhenoFarm to Solina (Astorg). LIVA acted as insurance broker for the purchaser on warranty & indemnity matters, and ZNR Notai handled the notarial aspects of the operation. The transaction concerns Solina’s acquisition of a majority stake in PhenoFarm, an Italian company that produces flavours and natural extracts obtained from local plant raw materials, with particular focus on natural olive extracts. This is Solina’s second acquisition in Italy and enables the company to expand and further strengthen its position in Southern Europe. PedersoliGattai represented Solina (Astorg) with a team composed by: partner Ascanio Cibrario (team coordinator); senior associate Edoardo Augusto Bononi; associates Francesco Romagnoli and Paolo Sancassani for corporate and M&A matters. Senior counsel Fabiana Campopiano and associate Letizia Sartori handled antitrust and golden power aspects. Due diligence work was coordinated by senior counsel Nicola Martegani. ZNR Notai assisted with the notarial aspects of the transaction with a team composed by: notaries Federico Mottola Lucano and Armando Scorza, supported by Camilla Tolasi.
