ATB Riva Calzoni Debt Restructuring Agreements Approved with Advisers Involved

Gianni & Origoni acted as legal adviser to ATB Riva Calzoni; KPMG served as financial adviser to ATB Riva Calzoni; Luigi De Anna acted as attestator; and the creditor banks were assisted by Simmons & Simmons, Giovannelli e Associati and BLF Studio Legale. The court approval (homologation) of the debt restructuring agreements concludes the successful restructuring process initiated by ATB Riva Calzoni with access to the negotiated composition of the crisis in 2024. ATB Riva Calzoni, a long‑standing Brescia‑based company active in the design and manufacture of mechanical equipment and plants for the energy, industry and environmental sectors with an established global industrial presence, defined an industrial plan for 2025–2029 aimed at relaunching the company and consolidating its presence in international markets. The restructuring agreements, entered into under article 57 of the Corporate Insolvency and Insolvency Proceedings Code (CCII), allowed ATB Riva Calzoni to reschedule medium and long‑term financing and to obtain confirmation of short‑term credit lines essential to preserve the core business. Such lines were granted as pre‑deductible financing pursuant to article 99 CCII until the homologation and also in execution pursuant to article 101 CCII. The agreements form part of a broader corporate restructuring process that already included, in the initial phase of the negotiated composition, the sale of a business unit and the disposal of certain real estate assets not material to the current industrial structure. Gianni & Origoni represented ATB Riva Calzoni with a team composed by: partners Luca Jeantet and Paola Vallino, and senior associate Davide Rondinelli. KPMG, acting as financial adviser to ATB Riva Calzoni, worked with Giuseppe Di Leone and Thomas Gerling. Luigi De Anna acted as attestator for ATB Riva Calzoni, co‑assisted by Jacopo Zanchetta. Simmons & Simmons represented the creditor banks with a team composed by: counsel Federico Perego and trainee Sabina Elia. Giovannelli e Associati represented the creditor banks with a team composed by: partner Marco Amoruso and senior associate Antonio Campo. BLF Studio Legale represented the creditor banks with a team composed by: of counsel Alberto De Pra.
