Bird & Bird advises Bystronic on acquisition of Coherent's Tools for Materials Processing business unit

Bird & Bird advised Swiss company Bystronic AG in signing an agreement to acquire the "Tools for Materials Processing" business unit from US-based Coherent Inc., with the advisory work carried out in collaboration with US law firm Venable LLP. The transaction covers a business unit with approximately 400 employees and generates revenue of around US$100 million. The unit is headquartered in southern Germany. The acquisition will enable Bystronic to expand into additional growth markets, including medical devices, semiconductors and general manufacturing, and to extend its portfolio with new laser applications such as micromaterial processing, marking, labelling and drilling. The takeover is expected to deliver procurement synergies and additional research and development expertise. Bystronic will also acquire the rights to the well-known laser technology brand Rofin, which will continue to operate within a newly established business unit to be named Bystronic Rofin. The transaction remains subject to further approvals and is expected to be completed in the coming months. The parties have agreed not to disclose the purchase price or other financial details.
