Osler, Hoskin & Harcourt; Wilson Sonsini Goodrich & Rosati; Gowling WLG; and Pérez-Llorca advised Clio in its acquisition of vLex, while A&O Shearman acted for seller Oakley Capital. J.P. Morgan advised vLex and Goldman Sachs provided financial advice to Clio. Canadian legal software company Clio has completed its US$1 billion acquisition of vLex, a global legal intelligence platform, in one of the largest transactions to date in the legal technology sector. The acquisition brings together Clio’s legal operating system and vLex’s Vincent AI, powered by a global legal database, with the stated aim of creating an Intelligent Legal Work Platform that connects the business and practice of law through AI. Oakley Capital, which acquired vLex in 2022, supported the company’s international expansion, including its US entry through the purchase of Fastcase, and the development of AI tools such as Vincent, launched in 2024. Under the agreement, Oakley and the founders of vLex will partially reinvest in the combined company to support its growth. The closing of the acquisition coincided with Clio’s US$500 million Series G funding round, led by New Enterprise Associates (NEA) and valuing the company at US$5 billion; the round also includes existing investors TCV, Goldman Sachs Asset Management, Sixth Street Growth and JMI Equity. Pérez-Llorca represented Clio with a team composed by: Pedro Fernández (partner, corporate), Rodrigo Turcios (corporate), Noemí Marqués de Magallanes (corporate), María Rodríguez (corporate), Andy Ramos (intellectual property and technology partner), José Suárez (tax partner) and Belén Wert (regulatory lawyer). A&O Shearman represented Oakley Capital with a team composed by: Íñigo del Val and Nicolás Sierra.
