Sauter Italia acquires majority stake in M2B2 Holding

Giovannelli e Associati and KPMG advised buyer Sauter Italia, while Gilberti Triscornia e Associati and Studio Balleggi advised the selling shareholders. Sauter Italia — a company belonging to the group headed by Fr. Sauter AG, based in Basel, Switzerland — has acquired a 60% majority stake in M2B2 Holding. M2B2 Holding is the investment vehicle that controls Proget Impianti, Erisist and Eurosicurezza, companies operating in the facility management sector and providing services for operations, maintenance, revamping and regulatory compliance to public and private clients. With this acquisition, the Sauter group consolidates its presence in the Italian facility management market, continuing the strategy of previous acquisitions. Giovannelli e Associati represented Sauter Italia with a team composed by: partners Pasquale Marini and Francesco Peruffo, counsel Serena Germani and associate Chiara Ricchetti. KPMG represented Sauter Italia in the financial, tax and commercial aspects of the transaction with teams led by: Valeria Peccerillo and Federica Semenza (financial and tax due diligence) and Maurizio Nitrati and Andrea Marcello Fiorenza (commercial due diligence). Gilberti Triscornia e Associati represented the selling shareholders with a team composed by: Emilio Bettaglio, Davide Ferracin, Alessandro Arcidiacono and Rachele Carraro. Studio Balleggi of Florence acted as sole advisor to the selling shareholders.
