HEUKING Advises STINAG on Share Delisting and Voluntary Public Takeover Offer by Majority Shareholder

"HEUKING advised STINAG Stuttgart Invest AG on its planned delisting and a delisting agreement with majority shareholder Brasserie Holding SA. Brasserie will launch a voluntary public tender offer for up to 2,784,337 shares at EUR 15.50 per share in cash, expected to be published on 20 November 2025."

HEUKING advised STINAG Stuttgart Invest AG on the planned delisting of its shares and on the announced voluntary public takeover bid by majority shareholder Brasserie Holding SA. STINAG has resolved to apply for the revocation of the inclusion of its shares in trading. The shares are currently listed, among others, on the Freiverkehr Plus segment of the Baden-Württemberg Stock Exchange in Stuttgart and on the m:access segment of Munich Stock Exchange. The company considers that maintaining these listings no longer yields sufficient benefit and regards the delisting as being in the best interests of the company. Accordingly, STINAG entered into a delisting agreement with its majority shareholder, Brasserie Holding SA of Lenzburg, Switzerland. Under that agreement, Brasserie Holding will launch a voluntary public purchase offer for up to 2,784,337 STINAG shares at EUR 15.50 per share in cash. The offer is not subject to a minimum acceptance condition and is expected to be published on 20 November 2025. STINAG, a long-established holding company with roots in Stuttgarter Hofbräu AG, is today entirely focused on real estate.
